Please read these Terms and Conditions ("Terms") carefully before using the Erector Buddy mobile application and related services (collectively, the "Services") operated by Kwan Software Engineering, Inc. ("we," "us," or "our"). By downloading, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this requirement. We do not knowingly permit individuals under 18 to create accounts or use the Services.
To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@erectorbuddy.com if you suspect any unauthorized use of your account.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Erector Buddy application on your personal device solely for your own lawful business or personal purposes. You may not sublicense, sell, resell, copy, modify, or distribute the Services or any content from the Services without our prior written consent.
Certain features of the Services may require a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the plan you select). All payments are non-refundable except as expressly stated in these Terms or as required by applicable law.
You authorize us (or our third-party payment processor) to charge your payment method for all applicable fees. If a payment fails, we may suspend or terminate your access to paid features until payment is resolved. We reserve the right to change our pricing with reasonable advance notice.
The Services allow you to upload, store, and manage photos, files, and other content ("User Content"). You retain ownership of your User Content. By uploading User Content, you grant us a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely as necessary to provide the Services to you.
You are solely responsible for your User Content. You represent and warrant that you have all rights necessary to grant the license above and that your User Content does not violate any law or third-party rights. We reserve the right to remove User Content that violates these Terms.
You agree not to use the Services to:
All content, features, and functionality of the Services — including but not limited to the Erector Buddy name and logo, software, text, graphics, and user interface — are owned by or licensed to Kwan Software Engineering, Inc. and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or other proprietary information without our prior written permission.
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our data practices.
The Services may integrate with or contain links to third-party services, websites, or applications. We do not endorse and are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to their terms.
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any content available through the Services.
To the fullest extent permitted by applicable law, in no event shall Kwan Software Engineering, Inc., its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising out of or related to your use of or inability to use the Services, even if we have been advised of the possibility of such damages.
Our total cumulative liability to you for any claims arising out of or related to these Terms or the Services shall not exceed the greater of (a) the total amount you paid to us in the twelve (12) months preceding the claim or (b) one hundred U.S. dollars ($100).
You agree to indemnify, defend, and hold harmless Kwan Software Engineering, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any rights of a third party.
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us at support@erectorbuddy.com. Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimer of warranties, limitation of liability, and indemnification) will survive.
These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Clark County, Nevada, and you consent to personal jurisdiction in those courts.
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. We may also notify you of material changes by email or through a notice within the app. Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the revised Terms.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kwan Software Engineering, Inc. with respect to the Services and supersede all prior or contemporaneous agreements, communications, and understandings, whether oral or written.
